I think you wouldn't gain much at all by doing the swap power wise as the latter 2ltr engine with a chip should be very similar to the 2.3ltr engine that you can't chip.

Stick the 2.5ltr M20 in there if your going to swap engines.

The engine management system will be different on the 323 comapred to the 320 as it's a chrome bumper car.

Better off either chipping it as Andy said along with a 325i inlet manifold & throttle body, etc, or sticking a later 325 in it. There's some clash of pick-ups or something... not quite sure.

I think Ian might have an inlet manifold and TB lying around after he fitted his 2.7 unit...

The 2.3 will have an L-Jetronic management system that will not plug into the car loom. You could try using the motronic engine loom but the 2.3 has probably got the distributor on the side not on the camshaft, this can be changed but it's a lot of work (and money) for not much gain.
If i were you i'd pass and spend my time looking for a 325i with bad bodywork and a good engine.
Best of luck.

Also,if i'm not mistaken, the 323 is the worst of the bunch with a staggering thirst for fuel. 8O
