.......... e39 wheels fit my mates 1994 840i ? will it need spacers etc if they will or is it a straight fit ?

They will go on, I could be wrong, but I think the e31 will take a lower offset than a 5er on the rear, so to make them fill the arches you may need spacers.

nice one fella , the wheels we want to fit are from a e39 m5 , 18 inch jobbies not sure if they have a different offset to a std e39 wheel

You need a spigot rings. The centre bore is bigger in E39.

You sure spigot rings are needed? I know they are if you fit 5er rims on a 3er, but I'm not so sure about 5er on an 8.

8 Series alloys same 72.5 centre bore as E28/E34 Fives and E32/E38 Sevens, not sure about the latest Five series but the E39 is the only beemer with the larger 74mm centre bore.

I belive the 8 series has wider rear wheels.

As mentioned-the spigot rings are available from ebay-they are just thin metal rings that you slip inside the centre hole of the wheel (they might get damaged easier if you fit them to the hub first then fit the wheel from my own experiences) reducing the size of the centre bore.

Definitely need hubcentric rings to fit E39 wheels to an E31. It'll drive terribly otherwise.
