Another m40 to m42 swap question, ECUs, exhausts and CATs

Hi, i'm thinking of dropping an m42 into my 1992 318i touring. do i need to change the ecu's as well? i have a cat on the 318i (nightmare) so presumably if i swap ecu's, i'd need to find an m42 one which had a cat as well? Also, is any of the exhaust system the same as if not, sourcing an m42 exhaust system with a cat and a lambda sensor fitting might be tricky or is it the same as an e36 exhaust at all? cheers in advance,Matt
