If it's a carbed engine, then no, itll need some wiring fettling and bits added to the fuel system (sorry for being a bit vague as I don't actually know exactly what it will entail.)
In standard guise, the M40 is a better engine than the M10, but most M40s have a knackered top end and sound like a bag of nails. Tuning the M10 will compromise economy but big figures can be gained if you've got the cash. If he's still set on an upgrade and want to stay single cam, go for an M43. For cheaper 4 pottering power, go M42.

Engine, gearbox, radiator, gear linkage, engine wiring loom, propshaft, ehaust out, and M40 equivalents in.
You will need to fit a fuel pump in the tank, and add the fuel return line from the engine bay. The pump will fit, but unless your car is a late one for a M10, you may be missing the anti fuel starvation dish welded to the bottom of the tank that the bottom of the pump sits in.
Again, if the M10 is a late one, the pump wiring should be mostly in place, and the M40 engine loom should plug straight into your car.
As in the post above yours, a lot of work for little gain. If you're doing the work, at least go for a 16 valve four pot.
